TERMS OF SERVICE

By accessing or using the Rural Exports website (ruralexports.net) or any of its associated content, tools, or publications, you agree to be bound by the following terms. If you do not agree to these terms, do not use this website.

Nature of Business

Rural Exports LLC is an independent trade advisory and logistics coordination practice. Rural Exports is not a licensed freight broker, licensed customs broker, licensed freight forwarder, common carrier, contract carrier, insurance provider, financial institution, or law firm.

Rural Exports coordinates services on behalf of clients through a network of independent, licensed professionals and service providers. All execution services — including but not limited to transportation, customs clearance, trade compliance, warehousing, insurance, and legal counsel — are provided by independent third-party service providers. Clients engage and contract directly with those providers for all execution services.

Rural Exports does not act as an agent, broker of record, intermediary of record, or fiduciary for any client or service provider. Any coordination performed by Rural Exports is administrative and advisory in nature only. No agency, partnership, joint venture, or fiduciary relationship is created by use of this website or by engaging Rural Exports for services.

Rural Exports does not control, direct, or supervise the operations, decisions, or performance of any third-party service provider.

The Rural Logistics name is used as a doing-business-as designation for the Rural Exports referral program.

No Guarantee of Results

Rural Exports makes no guarantees regarding outcomes, performance, cost savings, delivery timelines, regulatory approval, market entry success, or any other business results. Advisory recommendations and coordination services are provided on a best-efforts basis. Results depend on factors beyond Rural Exports' control, including but not limited to third-party provider performance, market conditions, regulatory environments, and client decisions.

Any timelines, schedules, or delivery estimates discussed or provided by Rural Exports are estimates only and are not guaranteed.

Client Responsibilities

Clients are solely responsible for:

  • Verifying regulatory compliance applicable to their products, transactions, and target markets

  • Reviewing, selecting, and approving third-party service providers prior to engagement

  • Reviewing and executing their own agreements directly with third-party service providers

  • Ensuring adequate cargo insurance and other risk protections are in place for their shipments

  • Providing accurate and complete information to Rural Exports and to third-party providers

Information provided through this website, our contact forms, our Made to Scale Export Readiness Assessment, our newsletters (Crossing Currents, Export Trails, Load Leverage), our playbooks and digital products, and any other Rural Exports content is for general informational purposes only.

Engagement Terms

All paid advisory and coordination engagements with Rural Exports are governed by a separate written agreement (such as a Master Services Agreement, engagement letter, or scope of work) executed between Rural Exports LLC and the client. These Terms of Service govern website use only and do not create an advisory, coordination, or client relationship.

Submitting a contact form, taking the Made to Scale assessment, or subscribing to a newsletter does not create a client relationship or engagement with Rural Exports.

Intellectual Property

All content on this website — including but not limited to text, graphics, logos, images, assessment tools, playbooks, digital products, and newsletter content — is the property of Rural Exports LLC and is protected by applicable copyright and intellectual property laws.

This includes content published under the Rural Exports brand and its associated publications: Crossing Currents, Export Trails, and Load Leverage.

No content may be reproduced, distributed, modified, publicly displayed, or used for commercial purposes without the prior written consent of Rural Exports LLC.

Limitation of Liability

Rural Exports LLC provides advisory and coordination services only. Rural Exports does not:

  • Take title to, possession of, or ownership interest in any goods or cargo

  • Act as a carrier of record, freight broker of record, or customs broker of record

  • Guarantee the performance, timeliness, or quality of any third-party service provider

  • Assume liability for loss, damage, delay, or any other claim arising from the acts or omissions of third-party service providers

To the maximum extent permitted by applicable law, Rural Exports LLC, its owner, employees, contractors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the use of this website, our publications, our assessment tools, or our advisory and coordination services.

In no event shall the total liability of Rural Exports LLC for any claim arising from a paid engagement exceed the lesser of: (a) the total fees actually paid by the client to Rural Exports LLC for the specific engagement giving rise to the claim, or (b) five thousand dollars ($5,000).

Indemnification

By using this website or engaging Rural Exports for advisory or coordination services, you agree to indemnify, defend, and hold harmless Rural Exports LLC, its owner, contractors, and affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your use of this website or reliance on information provided through this website, our publications, or our assessment tools

  • Your selection, engagement, or use of any third-party service provider, whether or not coordinated through Rural Exports

  • Shipment delays, losses, damages, or failures involving third-party providers

  • Regulatory or compliance failures related to your business, transactions, or shipments

  • Any breach of these Terms of Service by you

  • Any dispute between you and a third-party service provider

Accuracy of Information

While Rural Exports makes reasonable efforts to provide current and accurate information, trade regulations, tariffs, duties, compliance requirements, and market conditions change frequently and without notice. We do not warrant or guarantee the accuracy, completeness, reliability, or timeliness of any information on this website or in our publications.

Third-Party Links

This website may contain links to external websites and resources. Rural Exports is not responsible for the content, accuracy, or practices of any third-party website and does not endorse any third-party products or services.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any dispute arising from these terms or your use of this website shall first be submitted to binding arbitration administered in the State of Texas under applicable arbitration rules. If arbitration is not enforceable or is waived by both parties, disputes shall be resolved in the courts located in Hopkins County, Texas.

Force Majeure

Rural Exports shall not be liable for any delay, failure, or disruption in services caused by events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, sanctions, embargoes, port congestion, labor strikes, pandemics, natural disasters, regulatory changes, carrier failures, or supply chain disruptions.

Fees and Refunds

All fees paid to Rural Exports for advisory and coordination services are non-refundable unless otherwise specified in a separate written agreement between Rural Exports and the client. Starter packages and research fees are due in full before work begins.

Severability

If any provision of these terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

Changes to Terms

Rural Exports reserves the right to update or modify these terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the website after changes constitutes acceptance of the updated terms.
